Fund Objectives

The Quorum P.I.P.E. Trust ("QPIPE") will apply Quorum's proven PIPE investment strategy of investing in target micro-cap/small-cap public companies having significant gaps between their market capitalization and intrinsic value, with the objective of generating significant capital appreciation for investors in the medium term (3 to 4 years). This strategy will focus on a limited number of financially stable companies with recurring revenues and proven customer base. The fund will not target companies with revenues of less than $10 million, unless deemed by Quorum to be of exceptional investment potential. All investments will be structured as secured convertible debentures with a premium conversion price feature that is designed to lower investors risk without compromising upside potential.
