The Notes are unsecured and unsubordinated debt securities linked to the performance of the commodities that compose the Basket. The Coupon Rate for each Coupon Payment Date will be a percentage equal to the weighted average of the Commodity Performances of Basket Components on the applicable Coupon Determination Date, provided, in each case, that the Coupon Rate will not be less than 0% other than for the first Coupon Observation Date, which is subject to a minimum Coupon Rate of 5%.
