MCAN Mortgage Corporation Announces Pricing of Public Offering of Common Shares19:51 EDT Thursday, April 07, 2011TORONTO, ONTARIO--(Marketwire - April 7, 2011) -NOT FOR DISTRIBUTION TO U.S. NEWS WIRE SERVICES OR DISSEMINATION IN THE UNITED STATESMCAN Mortgage Corporation ("MCAN" or the "Company") (TSX:MKP) today announced that it has priced its previously announced offering (the "Offering") of 2,000,000 common shares at a price of $14.50 per share for gross proceeds of $29,000,000. The Offering is being conducted through a syndicate of agents co-led by BMO Capital Markets and RBC Capital Markets and including National Bank Financial Inc. and Scotia Capital Inc. (the "Agents"). BMO Capital Markets is acting as sole bookrunner for the Offering.The Company has also granted the Agents an option (the "Over-Allotment Option") for the sale of up to 300,000 additional common shares to cover over-allotments, if any, and for market stabilization purposes. This option may be exercised by the Agents at any time, in whole or in part, until 30 days following the closing of the Offering.The Company expects to use the net proceeds of the Offering for investment in single family residential mortgages, construction loans and commercial term mortgages in the ordinary course of MCAN's business.None of the common shares held by C-CAP II Limited Partnership ("C-CAP"), an affiliate of CDP Capital-Conseil Immobilier Inc., will be sold under the previously disclosed arrangement with BMO Capital Markets.The Offering is expected to close on or about April 18, 2011 and is subject to the Company receiving all necessary regulatory approvals, including the approval of the Toronto Stock Exchange.The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
