Veresen Inc. Announces Medium Term Note Offerings18:52 EST Thursday, March 08, 2012CALGARY, March 8, 2012 /CNW/ - Veresen Inc. ("Veresen") (TSX: VSN) announced today that it has agreed to issue $300 million principal amount of senior unsecured medium term notes at a fixed interest rate of 3.95% per annum, payable semi-annually in arrears, and maturing on March 14, 2017 and $50 million principal amount of senior unsecured notes at a fixed interest rate of 5.05% per annum, payable semi-annually in arrears, and maturing on March 14, 2022.Closing of the offerings is anticipated to occur on or about March 14, 2012. The net proceeds from the offerings will be used to reduce Veresen's outstanding indebtedness and for general corporate purposes.DBRS Limited and Standard & Poor's Ratings Services have assigned credit ratings of BBB (high) (stable) and BBB (stable), respectively, to the notes.The notes are being offered through a syndicate of investment dealers co-led by CIBC, TD Securities Inc. and Scotiabank, with CIBC and TD Securities Inc. acting as joint bookrunners, and including HSBC Securities (Canada) Inc., National Bank Financial Inc. and RBC Capital Markets, under Veresen's Short Form Base Shelf Prospectus dated August 22, 2011, a related Prospectus Supplement dated November 4, 2011, and applicable Pricing Supplements dated March 8, 2012.This news release does not constitute an offer to sell or the solicitation of an offer to buy the notes in the United States, in any province or territory of Canada or in any other jurisdiction.
