Sherritt Announces Proposed Offering of Senior Unsecured Debentures07:48 EDT Wednesday, September 19, 2012TORONTO, ONTARIO--(Marketwire - Sept. 19, 2012) - NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATESSherritt International Corporation ("Sherritt" or the "Corporation") (TSX:S) today announced that it intends to offer, subject to market conditions, $400 million senior unsecured debentures ("the Debentures"). The Debentures will be offered through a syndicate of agents that is to be led by National Bank Financial and Scotiabank and will also include GMP Securities, CIBC World Markets and TD Securities.The interest rates and other terms of the Debentures are to be determined by negotiation with the agents, based on prevailing market conditions. The Debentures will rank equally with other senior, unsecured indebtedness of the Corporation. Upon completion of the offering, the net proceeds of the offering will be used to fund the redemption of all of the $225 million outstanding principal amount of Sherritt's 8.25% Senior Unsecured Debentures Series B due October 24, 2014, including the applicable make-whole premium, and the remainder for general corporate purposes. The offering will be made pursuant to a prospectus supplement to Sherritt's short form base shelf prospectus dated August 24, 2012.
