NewMarket Corporation Announces Proposed Private Offering of Senior Notes08:23 EST Thursday, December 13, 2012 RICHMOND, Va. (Business Wire) -- NewMarket Corporation (NYSE:NEU) announced today that it intends to offer $300 million aggregate principal amount of senior notes due 2022 in a private offering. The interest rate and other terms of the notes will be determined based on prevailing market conditions. NewMarket intends to use the net proceeds from the proposed offering to repay a portion of its borrowings under its $650 million five-year unsecured revolving credit facility. In November 2012, NewMarket borrowed approximately $335 million on its revolving credit facility to finance a special dividend of $25.00 per share, which was paid on November 27, 2012 to holders of its common stock who were shareholders of record as of November 7, 2012, resulting in an aggregate dividend of approximately $335 million. The notes will be offered and sold in the United States only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended, and outside the United States in reliance on Regulation S under the Securities Act. The notes have not been registered under the Securities Act , and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
