(“Eloqua”) (NasdaqGM: ELOQ) to Oracle for shareholders. Under the terms of the proposed deal valued at approximately $871 million, Eloqua shareholders will only receive $23.50 in cash for each share of Eloqua stock owned, well below at least one analyst's estimated value of $27.00.

The Eloqua sale investigation centers on whether Eloqua's shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Eloqua's stock, and whether Eloqua's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Notably, according to at least one analyst with Yahoo! Finance, the true inherent value of the stock could be as high as $27.00 per share and the stock was trading at over $24.00 per share on November 1, 2012.
