Concho Resources Inc. Announces Proposed Offering of Senior Unsecured Notes

MIDLAND, Texas (Business Wire) -- Concho Resources Inc. (NYSE: CXO) (“Concho” or the “Company”) today announced that it intends, subject to market conditions, to publicly offer an additional $500 million aggregate principal amount of its 5.5% senior unsecured notes due 2023. The new senior notes are being offered as additional notes under an indenture pursuant to which Concho originally issued $700 million aggregate principal amount in August 2012. The senior unsecured notes are fully and unconditionally guaranteed by all of Concho's current subsidiaries. Concho intends to use the net proceeds from the offering to fund the cash tender offer that it commenced today to purchase any and all of its $300 million in outstanding aggregate principal amount of 8.625% Senior Notes due 2017 and repay a portion of the outstanding balance under its credit facility.

BofA Merrill Lynch, Barclays, Citigroup, J.P. Morgan, and Wells Fargo Securities will act as joint book-running managers for the senior unsecured notes offering.
