(TSX VENTURE:SY) (the "Company" or "Symbility") has today entered into an agreement with a syndicate of underwriters led by Cormark Securities Inc. and including Paradigm Capital Inc., Stifel Nicolaus Canada Inc. and Salman Partners Inc. (collectively, the "Underwriters") pursuant to which the Underwriters have agreed to buy and sell to the public 22,727,500 common shares ("Common Shares") of the Company at a price of $0.44 per Common Share, for gross proceeds to the Company of $10,000,100 (the "Offering"). The Underwriters will also have the option, exercisable in whole or in part at any time up to 30 days after the closing of the Offering, to purchase up to an additional 3,409,125 Common Shares of the Company. In the event that the option is exercised in its entirety, the aggregate gross proceeds of the Offering will be $11,500,115. Closing of the Offering is expected to occur on or about December 11, 2012 and is subject to regulatory approval including that of the TSX Venture Exchange.The Common Shares to be issued under the Offering will be offered by way of a short form prospectus in all provinces in Canada, except Quebec, and certain other jurisdictions.The net proceeds of the Offering will be used for general corporate and working capital purposes.This news release does not constitute an offer of securities for sale in the United States.
