Kinder Morgan Canada Ltd operates as an integrated network of pipeline systems and terminal facilities in Canada. The business activities are carried out through two segments namely Pipelines and Terminals. The Pipelines business unit is composed of the Trans Mountain pipeline system, the Canadian portion of the Cochin pipeline system, the Puget Sound pipeline system, and the Jet Fuel pipeline system. The Terminals business unit is composed of the Vancouver Wharves terminal in British Columbia and numerous terminals in Edmonton, Alberta. Geographically the business presence of the firm is spread across the US and Canada.

Pembina Pipeline Corporation ("Pembina" or the "Company") (TSX: PPL; NYSE: PBA) announced today that its Board of Directors has declared a common share cash dividend for January 2020 of $0.21 per share to be paid, subject to applicable law, on February 14, 2020 to shareholders of record on January 24, 2020. As previously announced, Pembina's Board of Directors approved a $0.01 per share increase to its monthly common share dividend rate to $0.21 per share, subject to closing of the acquisition of Kinder Morgan Canada Limited and the U.S. portion of the Cochin Pipeline system, which occurred on December 16, 2019. The common share dividends are designated "eligible dividends" for Canadian income tax purposes. For non-resident shareholders, Pembina's common share dividends should be considered "qualified dividends" and may be subject to Canadian withholding tax.

Kinder Morgan, Inc. (NYSE: KMI) today announced it has sold all of the approximately 25 million shares of Pembina Pipeline Corporation (TSX: PPL; NYSE: PBA) (Pembina) stock it received in connection with Pembina's acquisition of the outstanding common equity of Kinder Morgan Canada Limited. The sale of these shares is consistent with KMI's previously announced intention to convert the shares into cash in an opportunistic and non-disruptive manner, and the after-tax proceeds of $764 million are consistent with KMI's 2020 budget. As previously disclosed, KMI intends to use the proceeds to pay down debt - creating balance sheet flexibility in 2020 (relative to KMI's long-term leverage target of 4.5 times Net Debt-to-Adjusted EBITDA).

Kinder Morgan, Inc. (NYSE: KMI) today announced that the Pembina Pipeline Corporation (TSX: PPL; NYSE: PBA) (Pembina) has acquired the U.S. portion of the Cochin Pipeline for $1.546 billion. In addition, Pembina has acquired all of the outstanding common equity of Kinder Morgan Canada Limited (TSX: KML), including the 70 percent majority voting interest held by Kinder Morgan Inc. (NYSE: KMI) (the Arrangement). Under the Arrangement, KMI will receive .3068 shares of Pembina for each KML share it holds. This exchange ratio results in KMI receiving approximately 25 million shares of Pembina stock for KMI's 70 percent interest in KML, which equates to slightly less than 5 percent of Pembina's common equity. KMI expects to ultimately convert these shares into cash in an opportunistic and non-disruptive manner.
