The Company also expects to grant the underwriters an option to purchase additional shares of its common stock to cover over-allotments, if any. The Offering will be made pursuant to the Company's shelf registration statement, which was filed with, and has been declared effective by, the Securities and Exchange Commission (the "Commission").

The Company intends to use all or substantially all of the net proceeds from the Offering to invest in portfolio companies in accordance with its investment objective and strategies and for general corporate purposes.
