("Avalon") (TSX:AVL, OTCQB: AVLNF) from treasury at a price of approximately C$0.091164 per share for total consideration of C$10,000,000, and a C$3,000,000 principal amount secured convertible debenture (the "Convertible Debenture") of Avalon.
