EquipmentShare Upsizes Private Offering of 2034 Secured Notes

On June 16, 2026, EquipmentShare.com Inc. announced it had upsized and priced a private offering of $1.35 billion in senior secured second lien notes due 2034, increasing the deal by $300 million from the originally proposed size. The notes, bearing interest at 7.125% and sold at par, will be secured on a second-priority basis by liens on substantially all assets that already secure first-lien obligations.

EquipmentShare plans to use the proceeds primarily to repay borrowings under its asset-based revolving credit facility, as well as to cover related fees and for general corporate purposes. The transaction, placed with qualified institutional buyers in the U.S. and non-U.S. investors under securities law exemptions, should bolster the company’s capital structure and liquidity while deepening its access to institutional debt markets.
