OTS Holdings’ controlling shareholder moves to privatise meat products group via S$0.17-per-share scheme

Tipranks - Wed Sep 9, 6:02AM CDT

An announcement from OTS Holdings Limited ( (SG:OTS) ) is now available.

BCS Development Pte. Ltd., the controlling shareholder of OTS Holdings Limited, has launched a scheme of arrangement to acquire all remaining shares it does not already own at S$0.17 per share, excluding stakes held by key executives Ong Bee Chip and Ong Chew Yong. The offer price represents substantial premiums to recent trading prices and the group’s net asset value, and is structured to allow minority investors to realise their holdings in cash without brokerage costs.

The proposed transaction is aimed at delisting and privatising OTS Holdings from the Catalist board of the Singapore Exchange, citing persistently low trading liquidity and a lack of need for public equity funding. Management argues that removing listing-related compliance burdens will lower costs and provide greater operational flexibility, enabling the meat products manufacturer to redeploy resources more effectively to support its strategic growth plans.

As part of the deal, the executive shareholders will roll over their stakes into additional shares of the offeror at the same effective price, consolidating ownership within the Ong family and their investment vehicle. If approved by shareholders and sanctioned by the Singapore High Court, the scheme would leave BCS Development with full control of OTS Holdings, reshaping the company’s capital structure and governance as a privately held enterprise.
